1. Introduction and acceptance

These Black Friday Offer Terms (the "Offer Terms") apply to every BoardCloud subscription purchased at the Black Friday price shown on the BoardCloud pricing page. They constitute an agreement between BoardCloud and you.

1.1 By purchasing a subscription at the Black Friday price, you accept these Offer Terms, the BoardCloud Terms of Service and the BoardCloud Privacy Policy.

1.2 If these Offer Terms conflict with any other BoardCloud terms, these Offer Terms prevail for the Black Friday subscription only.

1.3 A free 30-day trial started before purchase remains governed by the BoardCloud Trial Terms and Conditions. These Offer Terms apply from the date the paid subscription starts.

2. Definitions

• "BoardCloud": the web application created, owned and provided by BoardCloud USA LLC trading as BoardCloud by Syncrony Digital.
• "User" or "Seat": one named member of the customer's organization given access to the software.
• "Black Friday Price": the discounted per-User price for the chosen plan (Non-Profit or Business) and term (Monthly or Yearly) shown on the pricing page at the time of purchase.
• "Ruling Price": BoardCloud's standard published price, at the relevant time, for the equivalent plan on a yearly subscription.
• "Subscription Year": each consecutive 12-month period starting on the date the paid subscription begins.
• "Yearly Subscription": a subscription billed and paid in full, in advance, for 12 months.
• "Monthly Subscription": a subscription billed month by month, in advance.
• "Offer Period": the dates during which the Black Friday Price can be purchased (clause 3).

3. Eligibility and offer period

3.1 The Black Friday Price is available only for subscriptions purchased between 5 October and 30 November 2026 (the Offer Period). Purchases after the Offer Period are charged at the Ruling Price.

3.2 The offer is open to new customers and to trial users converting to a paid subscription. 

3.3 The Non-Profit Plan is available to organizations that can show registered non-profit, charity or tax-exempt status on request. 

3.4 The offer cannot be combined with any other discount, promotion, coupon or negotiated pricing, unless BoardCloud agrees in writing.

3.5 The offer applies to one subscription per organization. It has no cash value and cannot be transferred, resold or exchanged.

4. Black Friday pricing

The Black Friday Price is fixed for the first two Subscription Years; from year three the customer pays 40% less than BoardCloud's current, ruling standard price.

4.1 Years one and two. The Black Friday Price applies for the first Subscription Year and stays unchanged for the second Subscription Year. There is no price increase in year two.

4.2 Additional year for Yearly Subscriptions. A customer who buys a Yearly Subscription and pays it in full, in advance, is entitled to one additional Subscription Year at the same Black Friday Price. The second year renews automatically under clause 8.1 and must be paid in full, in advance, before it starts. The customer may decline it by giving notice under clause 8.1.

4.3 Monthly Subscriptions keep the Black Friday Price for months 1–24 (clause 5).

4.4 Year three onwards. For subscriptions that continue beyond two Subscription Years, the price per User is the Ruling Price less 40%. The Ruling Price is BoardCloud's standard retail price for the equivalent yearly subscription at the start of the third Subscription Year (two years after the subscription started), and is re-measured at the start of each later Subscription Year.

4.5 Summary.

4.6 Prices exclude applicable sales tax, VAT or similar taxes, which are added to invoices where required.

5. Monthly subscriptions

5.1 A Monthly Subscription at the Black Friday Price has a minimum term of 4 months from the start date.

5.2 If the customer cancels before the end of the minimum term, the fees for the remaining months of the minimum term become due immediately.

5.3 After the minimum term, the Monthly Subscription continues month to month until cancelled under clause 8.

5.4 Monthly Subscriptions follow the same pricing structure as clause 4: the Black Friday Price for months 1–24, and the Ruling Price less 40% from month 25 (clause 4.4).

5.5 There is no lock-in beyond the 4-month minimum term. After it, the customer may cancel at any time under clause 8.2 without losing any fees already paid for services received.

5.6 If a Monthly Subscription is cancelled and later restarted, the restarted subscription is charged at the Ruling Price.

6. Additional seats

6.1 Customers may add Users at any time during the subscription.

6.2 Each added User is charged at the per-User price that applies to the customer's plan and Subscription Year at the time the User is added.

6.3 For Yearly Subscriptions, added Users are charged pro-rata for the remaining days of the current Subscription Year and invoiced when added. For Monthly Subscriptions, added Users are charged pro-rata for the rest of the current month and in full from the next billing date.

6.4 Added Users share the subscription's end and renewal date and follow the same pricing structure as the rest of the subscription.

6.5 Users removed during a paid period are not refunded. The reduced User count applies from the next billing date.

7. Payment and invoicing

7.1 All prices are in US dollars (USD).

7.2 Yearly Subscriptions are payable in full before the Subscription Year starts. Monthly Subscriptions are payable in advance on each monthly billing date.

7.3 Invoices are due within [14] days of the invoice date, unless paid by card or automatic debit at checkout.

7.4 If payment is overdue by more than [14] days, BoardCloud may suspend access until payment is received. Data is kept during suspension. A customer whose payment is overdue by more than [30] days loses the Black Friday Price and is charged the Ruling Price from the next billing date.

7.5 BoardCloud will give at least [30] days' written notice of the price that will apply to the next Subscription Year under clause 4.

8. Renewal, cancellation and refunds

8.1 Renewal of Yearly Subscriptions. Each Subscription Year is paid upfront and cannot be cancelled once it has started. A Yearly Subscription renews automatically at the end of each Subscription Year, at the price set by clause 4, unless the customer gives written notice at least [30] days before the renewal date. Cancellation then takes effect at the end of the paid Subscription Year. There is no lock-in beyond the year already paid.

8.2 Cancelling a Monthly Subscription. After the 4-month minimum term, the customer may cancel with [30] days' written notice. Cancellation takes effect at the end of the billing month in which the notice period ends.

8.3 No refunds. All fees paid are non-refundable, including the unused part of any Subscription Year or month, except where required by law or where BoardCloud ends the subscription without cause.

8.4 Termination by BoardCloud. BoardCloud may suspend or end the subscription for unlawful use, breach of these Offer Terms or non-payment, as set out in the standard terms (clause 10).

8.5 Data after termination. After the subscription ends, customer data is kept for [30] days to allow export and is then permanently deleted. Recovery within that period may be arranged for a nominal fee.

9. Plan changes

9.1 Monthly to yearly. A customer may switch from a Monthly to a Yearly Subscription at any time. The Black Friday Price carries over for the rest of the first Subscription Year, and the months already paid count toward the 4-month minimum term.

9.2 Yearly to monthly. A switch from Yearly to Monthly takes effect only at the end of the current Subscription Year.

9.3 Non-Profit to Business. A customer may move from the Non-Profit Plan to the Business Plan at any time. The Business Plan's Black Friday Price (in year one) or clause 4 price (in later years) applies pro-rata from the date of change.

9.4 Transfer. The subscription and its pricing cannot be assigned to another organization without BoardCloud's written consent, except as part of a merger or acquisition of the customer.

10. General terms (carried over from our standard terms)

10.1 Use of the software. BoardCloud may withhold use of the BoardCloud Board Portal from any customer for unlawful use of the software, copyright infringement or breach of these Offer Terms. Unlawful use is strictly prohibited.

10.2 Intellectual property. BoardCloud keeps ownership of all intellectual property rights, including copyright in the underlying software, and may enforce them if infringement is found. The customer keeps ownership of its own data.

10.3 Data protection. BoardCloud protects customer information in line with the BoardCloud Privacy Policy. Customer data is encrypted with AES-256 encryption.

10.4 Support. Unlimited support and training, as described on the pricing page, are included for the full subscription.

10.5 Limitation of liability. To the maximum extent permitted by law, BoardCloud is not liable for indirect or consequential damages, including damages arising from loss of data, breaches of web security, unlawful third-party activity, or customer error. BoardCloud's total liability is limited to the fees the customer paid in the 12 months before the claim.

10.6 Changes to these Offer Terms. BoardCloud may update these Offer Terms. Changes do not alter the prices set in clauses 4–6 for a subscription already purchased, unless the customer agrees in writing.

10.7 Governing law. These Offer Terms are governed by the laws of the State of Washington, U.S.A., and disputes are subject to the courts of San Mateo County, California, U.S.A.
