Definition
The minimum number of affirmative votes required to formally pass a resolution or approve a decision once a valid quorum has been established. Threshold rules ensure that decisions comply with an organization's bylaws, articles of incorporation, or relevant governance statutes. Rules can be applied to individual votes and can vary from vote to vote.

Standard Threshold Rules

Simple Majority: Greater than 50% of votes cast (or members present). Used for routine operational decisions, approving prior minutes, and committee appointments.

Absolute Majority: Greater than 50% of all eligible board members, regardless of attendance or abstentions. Used for significant contractual approvals and unbudgeted capital expenditures.

Supermajority (Two-Thirds / Three-Fourths): Typically 66.7% (2/3) or 75% (3/4) affirmative votes (or custom fixed percentages). Used for amending bylaws, corporate restructuring/mergers, executive director termination, and share issuances.
